Terms & Conditions

IMPORTANT: These Terms and Conditions of Sale (“Terms”) govern the sale of products (“Products”) by SAFFAIRE INDUSTRIAL SAWS (I) PVT. LTD. (“Seller,” “We,” “Us”) to our customers (“Buyer,” “You”). By placing an order with us, the Buyer agrees to be bound by these Terms.

1. Basis of Contract and Order Acceptance

Offer and Acceptance: All orders placed by the Buyer constitute an offer to purchase the Products under these Terms. Orders are not binding upon the Seller until they are formally accepted in writing (e.g., via a Sales Confirmation or Pro-Forma Invoice).
Order Cancellation: The Buyer may not cancel any accepted order without the Seller’s express written consent. If cancellation is approved, the Buyer may be subject to a cancellation or restocking fee determined by the Seller, especially for custom-manufactured items.
Product Specifications: All descriptions, illustrations, specifications, and data contained in the Seller’s catalogues, brochures, website, or price lists are for general guidance only. The Seller reserves the right to modify the design or specification of any Product without prior notice, provided the modification does not materially affect the form, fit, or function.

2. Pricing and Payment Terms

Price: The prices for the Products are as set out in the Seller’s official quotation or accepted order confirmation. Prices are exclusive of all applicable taxes (GST/VAT), duties, freight, insurance, and handling charges, which shall be the sole responsibility of the Buyer.
Invoicing and Payment: Payment terms (e.g., 30 days net, advance payment, Letter of Credit) are specified on the order confirmation. Unless otherwise agreed, payment is due in full by the specified due date.
Late Payment: The Seller reserves the right to charge interest on all overdue payments at a rate of [Insert Interest Rate, e.g., 1.5% per month] or the maximum rate permitted by law, calculated daily from the due date until full payment is received. The Buyer shall be liable for all collection costs incurred by the Seller.

3. Delivery, Title, and Risk of Loss

Delivery Terms: Delivery terms shall be as specified in the Order Confirmation (e.g., Ex Works (EXW) Gurgaon, Freight On Board (FOB) shipping point). Unless otherwise specified, delivery shall be EXW (Ex Works) Seller’s facility in Gurgaon, Haryana (Incoterms 2020).
Risk of Loss: Risk of damage to or loss of the Products shall pass to the Buyer upon delivery in accordance with the agreed-upon Incoterm. For EXW, this means risk passes to the Buyer upon the Seller making the goods available at its premises.
Title: Title (ownership) to the Products shall not pass to the Buyer until the Seller has received full payment in cleared funds for the Products and all other sums due from the Buyer to the Seller.
Delivery Dates: Any delivery dates provided are estimates only. The Seller is not liable for any delay in delivery, regardless of the cause.

4. Inspection, Acceptance, and Returns

Inspection: The Buyer must inspect all Products immediately upon receipt.
Notification of Non-Conformity: The Buyer must notify the Seller in writing of any claim for short delivery, defects, or non-conformity to the accepted specifications within [Insert Days, e.g., 7] days of the delivery date. Failure to provide timely notice shall constitute irrevocable acceptance of the Products.
Returns: Returns will only be accepted with the Seller’s prior written authorization. Unauthorized returns will be rejected.

5. Limited Warranty

Warranty: The Seller warrants that, at the time of delivery, the Products shall be free from defects in material and workmanship and conform to the agreed-upon specifications for a period of [Insert Warranty Period, e.g., 12] months from the date of delivery.
Exclusions: This warranty does not cover:
- Normal wear and tear.
- Defects or damage caused by improper storage, handling, installation, maintenance, or misuse.
- Use of the Product contrary to its intended purpose or outside of specified operating parameters.
- Repairs or alterations performed by unauthorized persons.
Exclusive Remedy: The Seller’s sole obligation and the Buyer’s exclusive remedy for a valid warranty claim shall be, at the Seller’s option, to repair, replace, or refund the purchase price of the defective Product.

6. Limitation of Liability

Except as expressly provided in clause 5 (limited warranty), the seller makes no other warranties, express or implied, including any warranties of merchantability or fitness for a particular purpose.
in no event shall the seller be liable for any indirect, special, incidental, punitive, or consequential damages (including, without limitation, loss of profits, revenue, data, or use) arising out of or related to the sale or use of the products, regardless of the legal theory.
the seller’s total aggregate liability arising from or relating to any contract or order shall in no event exceed the total price paid by the buyer for the specific products giving rise to the claim.

7. Force Majeure

The Seller shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to, acts of God, war, fire, flood, terrorism, strikes, labour disputes, shortage of materials, government action, or transportation delays.

8. Governing Law and Jurisdiction

Governing Law: These Terms and any contract resulting from them shall be governed by and construed in accordance with the laws of India.
Jurisdiction: Any dispute or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurgaon, Haryana, India.

9. Intellectual Property

All intellectual property rights, including patents, copyrights, trademarks, and design rights, related to the Products, specifications, or technical documentation supplied by the Seller remain the exclusive property of SAFFAIRE INDUSTRIAL SAWS (I) PVT. LTD.
